DEFINITIONS

“Shipper” – The individual or entity sending the shipment to SourcingPH.
“Consignee” – The individual or entity designated to receive the shipment.
“SourcingPH” – Refers to SourcingPH, including its officers, employees, agents, and authorized representatives.
“Force Majeure” – Circumstances beyond SourcingPH’s reasonable control, such as natural disasters, acts of war, terrorism, labor disputes, regulatory actions, and system failures.

GENERAL TERMS

By tendering a shipment to SourcingPH and utilizing any of its shipping services, both the Shipper and the Consignee accept the following terms. No employee or agent of SourcingPH is authorized to amend or waive any provision of these conditions.

1. Consignment Note or Air Waybill

• This waybill is non-negotiable.

• The Shipper confirms that the information was completed by themselves or by SourcingPH on their behalf.

• The Shipper certifies they are the rightful owner or authorized agent of the goods being shipped.

2. Shipper and Consignee Obligations

The Shipper and Consignee jointly warrant that:

• The shipment is correctly described and does not contain any prohibited items (see Clause No. 3).

• Each shipment is labeled with a unique order code and packaged securely in accordance with Appendix I.

• All shipments comply with applicable laws and customs regulations.

• SourcingPH reserves the right to reject, delay, or discontinue transport of any shipment deemed non-compliant, unsafe, or illegal.

• The Shipper and Consignee are responsible for ensuring that cargo is delivered to the correct SourcingPH warehouse (e.g., Yiwu or Guangzhou for sea freight; Shenzhen for air freight). SourcingPH is not responsible for costs or delays resulting from incorrect routing.

• SourcingPH reserves the right to:

  • Relocate unclaimed cargo to alternative storage after 30 calendar days.

  • Auction unclaimed cargo after 60 calendar days to recover costs.

  • Impose storage fees of PHP 300.00 per day beginning 7 days after the billing date.

3. Prohibited & Fragile Shipments

• Prohibited Items: Illegal drugs, flammable substances, toxic chemicals, counterfeit goods, or any item banned under Philippine law will not be accepted and may be turned over to authorities.

• Fragile Items: Items such as glassware and perishables are shipped at the Shipper’s and Consignee’s sole risk. SourcingPH assumes no liability for breakage or spoilage.

4. Right to Inspection

SourcingPH, the Bureau of Customs (BOC), or the General Administration of Customs of China (GACC) may inspect shipments at any time. SourcingPH shall not be held liable for any damage or delay resulting from such inspections.

5. Lien on Goods

SourcingPH maintains a lien on all shipments for any unpaid charges and reserves the right to withhold delivery until such fees are fully paid.

6. Limitation of Liability

SourcingPH does not provide “All Risk” insurance coverage. Our maximum liability for loss or damage is the lower of:

• PHP 25,000

• Actual loss

• Shipment’s declared or market value

• Five (5) times the freight charge from China to the Philippines
  By using our services, the Shipper and Consignee agree to waive any claims beyond these limits.

7. Valuation of Claims

• Documents: Claims are limited to the cost of document re-issuance or re-creation.

• Parcels: Liability is capped at the lowest of the item’s repair, replacement, or resale value (not to exceed the original purchase cost).

8. Exclusion of Consequential Damages

SourcingPH shall not be responsible for any consequential, indirect, or special damages, including loss of profits, market opportunities, or business disruptions.

9. Force Majeure

SourcingPH shall not be liable for any delay or failure caused by:

• Natural disasters or extreme weather

• War, terrorism, or government restrictions

• Labor unrest or civil disturbances

• Regulatory inspections

• Improper packaging or labeling by the Shipper

• Delays caused by customs, third-party handlers, or system failures

10. Claims Policy

• Claims must be submitted within 72 hours of delivery via SourcingPH’s official Facebook Page or email.

• Freight charges must be fully paid prior to claims being processed.

• Claims must be supported by documentation (e.g., photos, invoices). Incomplete submissions may be denied.

11. Consolidation Policy

SourcingPH uses a First-In, First-Out (FIFO) approach. Consolidation of shipments is not guaranteed.

12. Pick-up and Release

• No partial pick-ups are allowed.

• Release of cargo is subject to full payment of all outstanding balances.

13. Pricing Policy

• Pricing published on the SourcingPH website or issued via quotation shall apply.

• SourcingPH reserves the right to change pricing without prior notice.

14. Non-Pull-Out Policy

Once a shipment is received at the SourcingPH China warehouse, it may not be withdrawn.

15. Indemnification

The Shipper and Consignee shall indemnify SourcingPH from all claims, damages, or penalties resulting from:

• Violation of these Terms and Conditions

• Improper shipment of restricted or prohibited goods

• Legal disputes involving third parties

16. Export Law Compliance

The Shipper and Consignee confirm compliance with applicable export laws and customs regulations of the Philippines, China, and any relevant jurisdictions.

17. Electronic Documentation

The Shipper and Consignee consent to the use of digital records, including waybills and invoices, where legally permitted.

18. Limitation of Actions

No legal action may be initiated against SourcingPH more than one (1) year after the shipment date.

19. Dispute Resolution

All disputes shall be resolved through arbitration in Las Piñas City, Philippines, before initiating any legal proceedings.

20. Severability

If any clause herein is deemed unenforceable, the remaining clauses shall remain valid and enforceable.

21. Entire Agreement

These Terms & Conditions represent the full agreement between the parties and supersede any prior agreements.

22. Governing Law

This agreement shall be governed by the laws of the Republic of the Philippines.

APPENDIX I – PACKAGING GUIDELINES

• External Packaging: Use sturdy, fully enclosed boxes or durable mailers that can withstand international transit.

• Internal Protection: Fragile goods must be cushioned using bubble wrap, foam, or air pillows.

• Heavy/Oversized Cargo: Must be crated, palletized, and banded. Reinforce all exposed corners.

• Sealing: Seal securely with heavy-duty tape; staples and straps are recommended for heavier loads.

• Labeling: Remove old shipping labels. Clearly label each box with the unique SourcingPH order number.

• Prohibited Markings: Do not place misleading labels or unauthorized customs markings.

• Compliance: Failure to follow packaging rules may result in shipment rejection, delays, extra charges, or liability waivers.
  SourcingPH reserves the right to reject or repack improperly prepared shipments at the shipper’s cost.
